The Deal

RSK Environmental Ltd has acquired the entire issued share capital of Salix River & Wetland Services Limited.

Salix are experts in river restoration, wetland ecological enhancement and habitat  creation schemes. Utilising innovative soft engineering solutions, they provide sustainable solutions throughout the UK that complement the natural environment, add to biodiversity and improve water quality. Founded in 2003 by Technical Director David Holland, Salix has evolved into a multi-skilled business offering design and build solutions and supplying their own products from the largest native wetland plant nursery in the UK.

RSK currently employs more than 3,600 staff in offices across the UK and worldwide. They provide independent environmental consultancy and technical services in the areas of the environment, health and safety, engineering and sustainability management to industrial, financial and public-sector clients in the UK and abroad.

We worked to a tight deadline and came up with a number of value-added points for our client’s consideration and implementation both pre and post transaction.

Our Role

MHA Larking Gowen Corporate Finance was asked to undertake the following work:

  • Preparing the sales documentation
  • Marketing the business for sale on a confidential basis, including identifying and
  • directly approaching potential buyers
  • Reviewing offers and negotiating with interested parties
  • Choosing the preferred bidder and agreeing heads of terms
  • Handling financial due diligence enquiries
  • Providing tax advice and structuring this into the deal
  • Assisting solicitors to draft the legal paperwork
  • Co-ordinating the deal to enable the vendors to concentrate on running the business
