Case study - M & K Commercials - Value
Wednesday, 21 September 2016
Established in 1979, M & K Commercials have a long successful history of providing their customers with commercial vehicle maintenance solutions and also pride themselves on being the Scania Service Dealer and tail lift agents for Norfolk.
MHA Larking Gowen assisted the vendors to sell M & K Holdings (Norwich) Ltd and its wholly owned subsidiary M & K Commercials Ltd to TruckEast Limited enabling the major shareholder to pursue other business interests.
Working closely with the vendor it was interesting to advise on negotiations and a deal structure in order to achieve the desired value for our client.
Matthew Allison, shareholder of M & K Holdings (Norwich) Ltd, said:
“You only sell your business once, so it was reassuring to have the team at MHA Larking Gowen on my side to get the best deal. Unlike many boutique sale agents, MHA Larking Gowen were able to help with the whole process from beginning to end, in particular giving extra value via positive tax planning.
”Mark Curtis, MHA Larking Gowen Partner, said:
“It reinforces the importance we place on developing a deep understanding of our client’s business and personal objectives in order to give support to a long standing valued client to achieve a deal structure and price that was right for them.”
MHA Larking Gowen Corporate Finance was asked to undertake the following work:
- Price guide calculation
- Negotiations with the buyer to agree price, terms and heads
- Advise on the commercial and tax structure for the acquisition
- Deal management
- Tax planning
