We advised on the sale of a care home portfolio in Norfolk and Kent

We advised the shareholders of Arcus Capital (Management) Limited on the sale of its care home portfolio to CareTrust REIT and Curaa Care.

Arcus Capital operates two highly regarded nursing homes in Norfolk and Kent, both with strong reputations for delivering high-quality care within their local communities.

Larking Gowen advised on the transaction, supporting the shareholders throughout the sale of the care homes to CareTrust REIT, a NYSE-listed healthcare real estate investment trust, with Curaa Care, an established care home operator, taking responsibility for day-to-day operations.

Our role:

  • Identifying and confidentially approaching potential buyers

  • Preparing sales documentation

  • Deal negotiations

  • Assisting with due diligence enquiries

  • Proactive deal management throughout

Key highlight:

Given the importance of confidentiality, we carried out a targeted buyer outreach process, approaching a select group of carefully chosen potential buyers. This generated significant interest and competitive tension, giving the shareholders a number of attractive opportunities to consider.

Ultimately, we helped secure a transaction with the buyer that best aligned with the shareholders' objectives, while managing an efficient process through to successful completion.

Mark, Director and Shareholder of Arcus Capital, said:

"Thank you Jack and David for all your support throughout this process; your guidance through the various twists and turns has been invaluable to keep the transaction on track.

"I am also very grateful for your calm approach to some of the more difficult aspects of the final negotiations when the deal could have taken a very different path, without the application of a level-headed and professional approach."

Jack Minns, Corporate Transactions Partner, said:

"Having supported Arcus Capital with the original acquisition of the homes, it was a real pleasure to work with Mark and Rachel again and support them through the full investment cycle to the eventual sale.

"Our strong experience in the care sector helped us generate significant interest from strategic acquirers, creating competitive tension and giving the shareholders a number of attractive exit options to consider. We are delighted to have helped them achieve a successful outcome and wish Mark and Rachel all the very best for the future."

David Franklin, Corporate Transactions Assistant Manager, said:

"It has been a pleasure working closely with the shareholders throughout this transaction and supporting them as they navigated this milestone event. Being involved from the early stages through to completion gave me the opportunity to build strong relationships with them, and I am delighted to have played a part in achieving a successful outcome. I wish them every success for the future."
